Jaime Mercado-Almodóvar

Jaime Mercado-Almodóvar is a Capital Member of Ferraiuoli and a member of our Corporate Practice.  Jaime has a very broad and diverse corporate practice with extensive experience with both the private and public sectors.

Jaime counsels and advises clients in commercial and corporate matters including:

  • corporate governance prevention and/or mitigation of conflicts of interests
  • corporate governance documents
  • shareholders’ meetings and shareholders’ proposals
  • securities regulatory matters (including registration statements, proxy statement disclosures, private placements, and securities filings with regulators)
  • financial institution regulatory matters (including the regulation of banks, finance companies, lease companies, investment advisors, international banking entities/international financial entities, and financial intermediaries)
  • major acquisitions and/or mergers (including transactions related to or between regulated entities and international/multinational transactions)
  • pre-merger notification and antitrust issues (Hart-Scott-Rodino)
  • public finance transactions relating to the structuring and issuance of bonds of the Commonwealth of Puerto Rico and its agencies and instrumentalities
  • public-private partnerships transactions
  • drafting and negotiating complex commercial agreements, outsourcing agreements and electronic contracts
  • electronic transactions, e-commerce and electronic transfer of funds
  • consumer protection laws, regulation of advertisements, sweepstakes, telemarketing, labeling, spamming, warranties, protection of privacy, and products recalls

As a part of his Intellectual Property Law practice, Jaime also advises clients on matters related to registration of trademarks, responses to office actions, and filings before the Copyright Office.  He also assists clients in connection with the drafting and negotiation of licensing and sponsorship agreements, trademark and copyright infringement claims, and domain name disputes.

Jaime represents our clients in sophisticated contractual matters (including drafting and negotiating complex commercial agreements) and has also counseled clients through the process of procuring and negotiating government contracts. He has appeared before administrative tribunals at local and federal government agencies including the Department of Consumer Affairs, the Department of State, the Office of the Commissioner of Financial Institutions, the Office of the Commissioner of Insurance, the Department of Health, and the United States Patent & Trademark Office.

It is foreseeable that the practice of law will keep evolving along with the new challenges raised by the ever changing regulatory landscape, economic and financial fluctuations, and the development of new technologies. In this fast paced and continuously changing era, we must be part of our clients’ teams in the process of finding real time solutions to the issues affecting their business.
